Cooperiwrite Terms of Service

Effective date: 2025. These Terms of Service (“Terms”) govern your access to and use of Cooperiwrite, a storytelling and creative collaboration platform operated by Salesprov.com (collectively, “Cooperiwrite,” “we,” “us,” or “our”).

1. Acceptance of Terms

By accessing or using Cooperiwrite, creating an account, or submitting content, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the platform.

2. Eligibility and Accounts

You must be at least 13 years old to use Cooperiwrite. If you create an account on behalf of an organization, you represent that you have authority to bind that organization to these Terms. You are responsible for safeguarding your login credentials and for all activity that occurs under your account.

3. Story Creation and AI Tools

Cooperiwrite provides tools to craft interactive stories, prompts, and AI-assisted narratives. AI outputs may be unpredictable or contain errors. You are solely responsible for reviewing, editing, and ensuring the accuracy and legality of any content generated or published through your account.

4. Ownership of Content

You retain any intellectual property rights you hold in the original content you submit to Cooperiwrite. By submitting content, you grant Cooperiwrite a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, modify for formatting, and distribute your content solely for operating, promoting, and improving the platform. This license ends when your content is removed from our systems.

You agree that you have all rights necessary to grant the license above and that your content does not infringe or violate the rights of any third party, including copyrights, trademarks, privacy, or publicity rights.

5. Copyright Infringement

Cooperiwrite does not condone or encourage copyright infringement. If any content uploaded to the platform is deemed to be in violation of copyright, Cooperiwrite reserves the right to remove such content from the site immediately and without prior notice to the uploader. Repeat infringers may have their accounts suspended or terminated.

6. User Conduct

You agree not to:

  • Upload, post, or transmit content that violates any law or infringes on the rights of others.
  • Use the platform to distribute spam, malware, or other harmful or disruptive content, or to attempt to gain unauthorized access to any systems.
  • Misrepresent your identity or affiliation, or impersonate any person or entity.
  • Reverse engineer, decompile, or otherwise attempt to derive the source code of the platform.

7. Enforcement and Content Removal

Cooperiwrite has the right, but not the obligation, to monitor content shared on the platform. We may flag, moderate, or remove any content that we, in our sole discretion, consider to be unlawful, infringing, offensive, or otherwise contrary to these Terms. This includes any content that may violate copyright or intellectual property rights. We may also suspend or terminate accounts that repeatedly or egregiously violate our policies.

8. Subscription Services and Payments

Certain features of Cooperiwrite may require a paid subscription. By subscribing, you agree to pay all applicable fees and taxes. Fees are non-refundable except where required by law. We may change pricing or subscription offerings with notice to you. If we terminate your access due to a breach of these Terms, you are not entitled to a refund.

9. Third-Party Services

Cooperiwrite may integrate or provide links to third-party services, including payment processors and content hosting providers. We do not control third-party services and are not responsible for their content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.

10. Disclaimer of Warranties

Cooperiwrite is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will be uninterrupted, secure, or error-free.

11. Limitation of Liability

To the fullest extent permitted by law, Cooperiwrite and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of or inability to use the platform.

In no event will our aggregate liability for all claims relating to the platform exceed the greater of fifty U.S. dollars (USD $50) or the amounts paid by you to Cooperiwrite in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Cooperiwrite, Salesprov.com, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the platform, your content, or your violation of these Terms.

13. Termination

We may suspend or terminate your access to Cooperiwrite at any time, with or without cause, and with or without notice. Upon termination, your right to use the platform will immediately cease, but any sections of these Terms that by their nature should survive termination will remain in effect.

14. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. You agree to submit to the personal jurisdiction of the state and federal courts located in San Francisco County, California for any disputes arising out of or relating to these Terms or the platform.

15. Changes to These Terms

We may modify these Terms at any time. When we do, we will update the effective date at the top of this page and, if the changes are material, we will notify you by reasonable means. Your continued use of the platform after the revised Terms become effective constitutes acceptance of the changes.
